THIS AGREEMENT is made on 1 October 2026.
BETWEEN
(1) KEVIN MAINA MWANGI of P.O. Box 5519-00100, Nairobi (the Assignor); and
(2) ZAWADI FINTECH LIMITED of P.O. Box 40112-00100, Nairobi (the Assignee).
RECITALS
(A) The Assignor is the owner of the intellectual property described in this Agreement.
(B) The Assignor has agreed to assign it to the Assignee on the terms of this Agreement.
IT IS AGREED as follows:
1. Definitions
1.1 In this Agreement, unless the context otherwise requires:
"Assigned Rights" means all copyright in the source code, object code, documentation and associated designs of the 'PesaTrack' mobile payments application, including all versions and updates developed by the Assignor prior to the date of this Agreement, being Copyright.
"Effective Date" means the date of this Agreement.
2. Assignment
2.1 With effect from the Effective Date, the Assignor assigns to the Assignee absolutely all its right, title and interest in the Assigned Rights throughout the world, for the full period for which they subsist, including the right to sue for past infringement. This is a full assignment.
2.2 The Assignor retains no licence or other right in the Assigned Rights.
2.3 The Assignor is or was an employee of the Assignee, and to the extent that any of the Assigned Rights already belongs to the Assignee as the Assignor's employer, this clause confirms the Assignee's ownership of those rights.
3. Consideration
3.1 The Assignee shall pay the Assignor the sum of KES 850,000 as consideration for the assignment of the Assigned Rights, payable on the signing of this Agreement.
3.2 The Assignor acknowledges that the sum stated in clause 3.1 is full consideration for the rights granted under this Agreement.
4. Warranty of Title
4.1 The Assignor warrants that:
(a) the Assignor is the sole owner of the rights granted under this Agreement and is entitled to grant them;
(b) those rights are free from any charge, licence or other third-party right; and
(c) so far as the Assignor is aware, their use does not infringe the rights of any other person.
4.2 The Assignor shall indemnify the Assignee against any loss caused by a breach of this warranty.
5. Moral Rights
5.1 This Agreement does not transfer the Assignor's moral rights as author of the works comprised in the Assigned Rights, which the law does not allow to be assigned.
